You mis spoke in part of this. You said the first time mark gave Eduardo 2/3, and then cut to 30% quickly. Then the rest you said 30%. I think partnerships are difficult and bottom line is that initially, the LLC was actually the right move at the time. A) they had no income or little income. B) they had no stock investments intentions at the beginning of the company. C) Florida is very friendly to business income. Sure, when you see external investors and you need that capital, then it makes sense to migrate / reform under a C-Corp. Now the problem with partnerships, is that unless there’s an agreement to review performance of every partner every year, you have to live with the good and the bad performance of each partner. That means if you sleep with your partners wife, and then he cancels all your existing contracts with 3rd parties, that’s something the business has to whether.
